Acceptance of Terms

By accessing and using the website of growljqwl B.V. ("growljqwl", "we", "us", or "our") or engaging our software engineering services, you accept and agree to be bound by these Terms of Service. • Custom Development: Intellectual property rights in custom-developed software will be addressed in individual service agreements
• Pre-existing IP: growljqwl retains all rights to pre-existing intellectual property, tools, and methodologies
• Third-party Components: Use of third-party components will be governed by their respective licenses
• Client Data: Clients retain ownership of their data and content provided to growljqwl

Payment Terms

Payment terms for services will be specified in individual service agreements. General payment conditions include:

• All prices are quoted in Euros (EUR) unless otherwise specified
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges as permitted by Dutch law
• growljqwl reserves the right to suspend services for overdue payments
• All prices are exclusive of VAT unless otherwise stated

Confidentiality

growljqwl acknowledges that in the course of providing services, we may have access to confidential information. We commit to maintaining strict confidentiality and will not disclose client information to third parties without consent, except as required by law. Detailed confidentiality terms will be included in service agreements where applicable.

Limitation of Liability

To the maximum extent permitted by law, growljqwl's liability for any claims arising from or related to our services or website is limited as follows:

• Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, data, or business opportunities
• These limitations apply regardless of the legal theory upon which the claim is based

Nothing in these terms shall limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

Termination

• By either party with reasonable notice for ongoing services
• Immediately by growljqwl if you breach these terms
• Automatically upon completion of agreed services
• As specified in individual service agreements

Upon termination, certain provisions including confidentiality, intellectual property, and limitation of liability shall survive.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Dispute Resolution

Before initiating any formal legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as agreed upon by the parties, or through the competent courts of the Netherlands.

Modifications to Terms

growljqwl reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting the updated terms on our website with a new "Last updated" date. Your continued use of our website or services after such changes constitutes acceptance of the modified terms. We recommend reviewing these terms periodically.

Severability
